1. Who these terms are with
This website, mircompaniesgroup.com, and its sections, including the MIR Foods, MIR Marché and MIR Trade pages (the “Site”), are operated by MIR Capital Inc., operating as MIR Group, a corporation incorporated under the Canada Business Corporations Act, with its head office at 595 King Street East, Kitchener, Ontario, N2G 2M2 (“MIR Group,” “we,” “us,” “our”).
These Terms of Use (the “Terms”) are a legal agreement between you and MIR Capital Inc. governing your access to and use of the Site.
2. Acceptance of these terms
By accessing or using the Site, you agree to be bound by these Terms. Please read them before using the Site.
Our Privacy Policy forms part of these Terms and is incorporated into them. We draw it specifically to your attention: it explains what personal information we collect through the Site, why, and what rights you have. Please read it together with these Terms.
If you do not agree to these Terms, do not use the Site.
If you are using the Site on behalf of a company or other organization, you confirm that you have authority to bind that organization, and “you” means both you and that organization.
3. Changes to these terms
We may change these Terms. The “Last updated” date above shows when the current version took effect, and the revised Terms apply to your use of the Site from that date.
Where a change is material, we will post a notice on the Site at least 30 days before it takes effect. Your continued use of the Site after that date means you accept the revised Terms. If you do not accept them, stop using the Site.
4. The Site is a business-to-business information resource
The Site is an informational and business-development resource intended for commercial audiences — procurement professionals, distributors, retailers, food manufacturers, trade partners and prospective business partners.
No sales are made through the Site. The Site does not offer products or services for sale, does not accept orders, and does not process payments. It is not intended for personal, family or household use, and it is not directed to consumers.
No product listing, specification, statement of availability or indicative price on the Site is an offer capable of acceptance. All such information is provided for reference only, is preliminary, and may change without notice. No binding agreement for the supply of any product or service arises between you and MIR Group unless and until it is set out in a written agreement signed or expressly confirmed in writing by an authorized representative of MIR Group.
Product and food information. Product descriptions, specifications, ingredient statements and nutritional information shown on the Site are provided for general reference and may not reflect the most current formulation. They are not a substitute for the information on the product label or on documentation we supply with a shipment.
Where you require allergen, ingredient, nutritional, certification or regulatory information for any purpose, you must rely on the product label and the specification documentation we provide in writing, not on the Site. If you have an allergy or a regulatory compliance requirement, contact us directly before acting.
Nothing in this section, or anywhere in these Terms, excludes or limits our liability for bodily or moral injury, or for death or personal injury, to any extent that applicable law does not permit.
5. Permitted use and restrictions
You may access and use the Site for lawful business purposes, and may view, download and print pages for your internal business use in evaluating a commercial relationship with MIR Group.
Except as permitted in the paragraph above, you must not:
- copy, reproduce, republish, redistribute, frame, or exploit any part of the Site commercially without our prior written permission;
- use any automated means — including robots, crawlers, scrapers, or data-mining, harvesting or extraction tools — to access, monitor or copy the Site or its content, except for search engine crawlers observing our robots.txt;
- collect or harvest electronic addresses from the Site by means of any computer program, which is prohibited by section 7.1 of PIPEDA;
- use the Site, its content, or any contact details published on it to send unsolicited commercial electronic messages, or for any purpose contrary to Canada's Anti-Spam Legislation;
- use the Site or its content to train, fine-tune, or develop any machine learning or artificial intelligence model or dataset without our prior written permission;
- attempt to gain unauthorized access to the Site, any server or network connected to it, or any account or data not intended for you;
- introduce any virus, malware, or other harmful code, or take any action that imposes an unreasonable load on our infrastructure;
- circumvent, disable, or interfere with any security or access-control feature of the Site;
- submit false, misleading or fraudulent information through any form on the Site, or impersonate any person or organization;
- use the Site in any way that is unlawful, or that infringes the rights of any other person.
6. Intellectual property
All content on the Site — including text, graphics, logos, photographs, product images, page design, layout, and the compilation of that content — is owned by or licensed to MIR Capital Inc. and is protected by Canadian and international copyright and other intellectual property laws.
MIR™, MIR Group™, MIR Foods™, MIR Trade™, MIR Marché™, MIR AI™, MIR Maisons™, Mirella's Délices™, MIR Crunch™, MIR Splash™ and MIR Twist™, together with associated logos and designs, are trademarks of MIR Capital Inc. and are used under licence by MIR Group operating entities. Nothing on the Site grants you any licence or right to use any of them.
Except as expressly permitted in Section 5, no content on the Site may be reproduced, redistributed, modified, transmitted, or used for any commercial purpose without our prior written permission. All rights not expressly granted are reserved.
Third-party trademarks appearing on the Site are the property of their respective owners and are used for identification purposes only.
7. Information you send us
This section applies to enquiries, business proposals, feedback, suggestions and similar material you send us through the Site or to the contact details published on it (a “Submission”). It does not apply to job applications — those are handled under our Privacy Policy and are used only for recruitment.
For any Submission:
- you confirm that it is your own or that you have the right to send it, and that it does not infringe anyone's rights;
- it is not confidential and no confidential or fiduciary relationship arises between us, unless we have signed a separate written confidentiality agreement covering it;
- you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and adapt it for our business purposes, including responding to you and evaluating any opportunity it describes;
- we are under no obligation to review, respond to, keep, or return it, and we may develop or acquire products, services or ideas similar to any Submission without any obligation to you.
Personal information you send us is handled in accordance with our Privacy Policy.
Do not send us confidential or proprietary information through the Site. If you wish to disclose confidential information to us, contact us first so a confidentiality agreement can be put in place.
8. Links to other sites
The Site links to MIR Group brand websites, including mirellasdelices.com, mir-ai.ca and mir-maisons.com, and to third-party websites. Those sites are governed by their own terms and privacy practices. Links are provided for convenience only and do not imply endorsement. We are not responsible for the content, availability, products, services or practices of any site we do not operate, and you access them at your own risk.
9. Availability of the Site
We do not guarantee that the Site will be available uninterrupted or error-free. We may modify, suspend or discontinue the Site or any part of it, temporarily or permanently, at any time and without notice, and we will not be liable to you for doing so.
10. Disclaimer of warranties
The Site and all content on it are provided “as is” and “as available.” To the fullest extent permitted by law, MIR Group disclaims all representations, warranties and conditions of any kind, whether express, implied or statutory, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
Without limiting the above, we do not warrant that the content of the Site is accurate, complete, current or reliable, that the Site will meet your requirements, that access will be uninterrupted, secure or error-free, or that the Site or the servers that make it available are free of viruses or other harmful components.
You are responsible for verifying any information on the Site before relying on it, and for obtaining written confirmation from us of any product specification, availability, price or term that matters to your decision.
This section does not exclude any warranty, representation or condition that applicable law does not permit us to exclude, and does not apply to liability for bodily or moral injury, or for death or personal injury.
11. Limitation of liability
This section applies to your access to and use of the Site. It does not limit our obligations or liability under any separate written agreement signed between us, which is governed by its own terms.
To the fullest extent permitted by law, MIR Group, its affiliates, and their respective directors, officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, anticipated savings, goodwill, data, or business opportunity, arising out of or in connection with the Site or these Terms, whether based in contract, tort or extracontractual liability (including negligence), or any other legal theory, and whether or not we were advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Site or these Terms will not exceed one thousand Canadian dollars (CAD $1,000).
These limits do not apply to:
- liability for bodily or moral injury, or for death or personal injury — which we do not exclude or limit in any way, and which article 1474 of the Civil Code of Québec prohibits excluding or limiting;
- liability for material injury caused by our intentional or gross fault, which article 1474 of the Civil Code of Québec likewise prohibits excluding or limiting;
- liability for fraud or fraudulent misrepresentation (in Quebec, dol);
- any other liability that applicable law does not permit us to exclude or limit.
If applicable law does not allow the exclusion or limitation of certain damages, the exclusions and limits above apply only to the maximum extent that law permits, and the remainder continues to apply. Nothing in these Terms is intended to operate as an abusive clause within the meaning of article 1437 of the Civil Code of Québec.
12. Indemnity
You agree to indemnify and hold harmless MIR Group, its affiliates, and their respective directors, officers, employees, agents and licensors from any third-party claim, and any resulting loss, liability, damage, cost or expense (including reasonable legal fees), arising out of your use of the Site, your breach of these Terms, your violation of any law, or your infringement of any third party's rights.
This indemnity applies only where we: (a) notify you promptly of the claim; (b) give you the right to control its defence and settlement, provided that no settlement imposing any obligation or admission on us is made without our consent, not to be unreasonably withheld; and (c) give you reasonable cooperation at your expense. This indemnity does not apply to the extent a claim arises from our own negligence or wrongful act.
13. Suspension of access
We may restrict, suspend or terminate your access to the Site at any time, without notice and without liability, if we reasonably believe you have breached these Terms or that your use of the Site poses a risk to us, to the Site, or to others.
Sections 4, 6, 7, 8, 10, 11, 12, 14, 15, 16 and 17 survive any termination.
14. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them or the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws principles.
You and MIR Group submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any such dispute — except where applicable law confers jurisdiction elsewhere and that jurisdiction cannot validly be waived. In particular, and without limitation, nothing in these Terms operates as a waiver of the jurisdiction of Quebec authorities under article 3149 of the Civil Code of Québec, which cannot be set up against a consumer or worker domiciled or resident in Quebec.
The Site is controlled and operated from Canada. We make no representation that the Site or its content is appropriate or available for use outside Canada. If you access the Site from elsewhere, you do so on your own initiative and are responsible for compliance with local law.
15. Language and governing version
These Terms are published in French at /conditions-utilisation and in English at /terms. The French version is made available to you before you accept these Terms.
If you are in Quebec, the French version governs. You are bound by the English version only if, after the French version has been remitted to you, that is your express wish.
Outside Quebec, the English version governs. In all other respects the two versions are intended to have the same meaning; if they differ, the version that governs under this section prevails.
16. General
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it, and no waiver is effective unless made in writing by us.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and MIR Group concerning the Site, and supersede any prior understanding on that subject. They do not supersede any separate written agreement signed between us, which governs to the extent of any conflict.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.
No partnership. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between you and MIR Group.
Headings. Headings are for convenience only and do not affect interpretation.
